1. About these terms
These terms describe the basis on which Suzy Hutton, trading as Hutton Digital, provides website, digital marketing, search optimisation, AI training and related services. Contact: suzy@huttondigital.com.
Your written proposal or statement of work sets out the services, deliverables, fees and any project-specific conditions. These terms should be provided with that proposal and accepted before work starts. A written variation agreed by both parties takes precedence where it expressly changes these terms. Browsing this website or sending an enquiry does not commit you to purchasing services.
2. Scope and changes
We will deliver the work described in your accepted proposal. Items not included in that scope, including additional pages, features, integrations, content or revision rounds, require a separate agreement.
If your requirements change, we will explain the effect on price and timing and obtain your agreement before carrying out additional chargeable work. Package descriptions indicate the stated scope; they are not a promise to provide unlimited services.
3. Fees and payment
Unless stated otherwise, prices are in New Zealand dollars and exclude GST. Our standard hourly rate is NZ$195 + GST, unless a different rate or fixed fee is agreed in writing. A fixed-price package is charged at its agreed package price.
Your proposal or invoice will specify any deposit, payment milestones and due dates. Domain registrations, hosting, subscriptions, paid themes, apps, advertising spend and other third-party costs are additional unless expressly included. We will agree any costs we incur on your behalf before purchasing. Any change to agreed fees requires written agreement.
4. Client information and approvals
Please supply accurate business information, approved text, images, brand assets and necessary platform access in time for the agreed work. You are responsible for having permission to use the materials you provide and for reviewing factual claims, prices, product details and regulated content.
We will seek your approval of completed work before an initial public launch unless you have already authorised publication. Delayed materials, access or approvals may affect the schedule. Credentials and access should be shared using an appropriate secure method.
5. Timing, revisions and completion
Any delivery dates depend on the agreed scope, availability, client inputs and relevant third-party services. We will let you know if a material delay becomes apparent and discuss a revised schedule.
The number and type of included revisions are specified in your proposal or package. Please provide consolidated feedback. Requests outside the agreed scope will be quoted separately. Corrections needed because our work does not meet the agreed requirements are handled in accordance with your agreement and applicable law.
6. Monthly support and retainers
Retainers provide the agreed allocation of time each month. Planning, meetings, reporting and delivery count towards that allocation unless the proposal says otherwise. We agree priorities with you and complete activities within the time available; listing a service does not mean every activity is included each month.
Additional hours require your approval. Before a retainer starts, the written proposal must confirm payment timing, the service period, scheduling arrangements, whether unused hours expire or roll over, and the cancellation notice. No minimum term, rollover rule or automatic renewal is implied solely by the package listing on this website.
7. Results and growth expectations
We provide the agreed services with reasonable care and skill. We do not guarantee specific search rankings, inclusion in AI-generated answers, website traffic, enquiries, sales, revenue or business growth.
Results depend on factors including competition, market conditions, budget, customer demand, client implementation and changes made by third-party platforms. Forecasts and growth targets are estimates or objectives, not promises. Case studies describe the work undertaken; a client’s growth ambition must not be read as an achieved result. This clause does not reduce our obligation to deliver the agreed work or exclude rights that cannot lawfully be excluded.
8. AI-assisted services
Some services use AI tools to assist with design, development, research or drafting. We review the work as part of the agreed service. AI output can contain errors and should not be treated as professional legal, financial or other specialist advice.
The AI Website Starter has the limited scope stated in the package and proposal. It does not include complex functionality, ongoing management or a separate editing dashboard unless agreed. Hosting, account access, ownership arrangements and ongoing costs must be confirmed before work begins.
9. Ownership and third-party services
The proposal will explain ownership, licensing, account access and handover arrangements for the final deliverables. Client-supplied materials remain subject to the client’s existing rights. Third-party platforms, themes, fonts, stock assets, software and AI tools may have their own licence terms.
Third-party accounts and ongoing charges should be clearly allocated to the client or Hutton Digital in the proposal. We cannot guarantee uninterrupted availability or unchanged features, pricing or policies of services outside our control. Ongoing maintenance, backups and support are included only where agreed.
10. Confidentiality and personal information
We use confidential client information to provide the agreed services and do not disclose it except as authorised, reasonably necessary for service delivery, or required by law. We will discuss any material need to share confidential information with an external tool or provider.
Website enquiries are processed through FormSubmit and sent to our business email. Please do not submit passwords or sensitive personal information through the enquiry form. For questions about the personal information we hold, or to request access or correction, email suzy@huttondigital.com.
11. Cancellations, concerns and remedies
If you need to cancel or pause a project, contact us promptly. Any agreed cancellation provisions will apply, subject to applicable law. We will discuss work completed, costs already authorised and any appropriate refund of amounts paid for work not provided.
If you are unhappy with a service, email us with details so we can investigate and discuss a fair resolution. Nothing in these terms excludes, restricts or modifies rights or remedies that cannot lawfully be excluded, including under New Zealand consumer and fair trading law where applicable. Any limitation of liability or business-to-business contracting-out provision requires a separate, legally valid written agreement.
12. New Zealand law and updates
These terms are governed by New Zealand law, subject to any mandatory law that applies. Both parties should first try to resolve a dispute through good-faith discussion, and may agree to mediation.
We may update the website terms for future engagements. Updates do not retrospectively change an existing agreement without both parties’ agreement. The version supplied with your accepted proposal applies to that engagement, together with any agreed written changes.
